These Terms & Conditions ("Terms") govern your use of ugcreelsai.com and any UGC-style, advertising or short-form video production services (the "Services") provided by Bayit Tech LLC ("UGC Reels AI", "we", "us" or "our"). By placing an order, sending us a brief or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

We produce social-first UGC-style, advertising and short-form video content for brands, combining AI-assisted production with human review. Specific deliverables, formats, quantities, turnaround times and pricing for your project are those confirmed with you at the time of order, plan selection or written agreement.

A project begins once you confirm an order or plan and provide the materials and brief we request. The scope of each project (number of videos, formats, revision rounds and turnaround time) is defined by the plan or agreement you select. Requests outside that scope — additional videos, formats or major creative changes — may be treated as a new order or quoted separately.

To produce your content, we typically need product images or videos, your website and social profiles, campaign details, brand guidelines and any reference content you want us to follow.

You confirm that any materials you provide (images, logos, footage, trademarks, likenesses or other content) are either owned by you or that you have the necessary rights and permissions to share them with us and to have them used in the videos we produce.

Our production process uses AI tools to generate realistic creators, scenes, voiceovers and video content, with every project reviewed by our team before delivery. By using our Services, you acknowledge and accept that deliverables are produced using AI-assisted methods rather than filmed with human performers, and you are responsible for complying with any disclosure requirements that apply to your use of the content (for example, platform or advertising-standard rules on AI-generated or synthetic media).

Once a project is delivered and paid for in full, you receive full commercial usage rights to the delivered videos for your marketing, advertising and social media use. We may retain the right to use anonymized or de-identified project outputs for our own portfolio and marketing purposes unless you request otherwise in writing.

Each plan includes a set number of revision rounds, confirmed at the time of order. Revisions cover adjustments within the original brief (pacing, captions, minor creative notes); requests that substantially change the brief, format or scene may be treated as a new project or quoted separately.

Our $100/month package (5 videos per month, up to 90 seconds per video, human quality review, 48-hour turnaround and full commercial usage rights) is started by contacting us directly — it is not a self-service subscription you activate on the website. Once you confirm the package, we set up recurring monthly billing through Stripe and send your invoice via WhatsApp Business; you complete payment directly through Stripe.

Custom packages outside the standard $100/month plan are scoped, priced and confirmed manually through WhatsApp. One-off projects are billed as agreed at the time of order. Production begins once payment (or the agreed deposit) is received, unless otherwise agreed in writing.

Our standard turnaround is 48 hours from receipt of a complete brief and all required materials. Turnaround times are estimates, not guarantees, and may be affected by revision rounds, incomplete materials, or unusually high order volume.

You agree not to use our Services to request content that is:

• Illegal, fraudulent, defamatory or infringing on the rights of a third party;
• Sexually explicit, hateful, discriminatory or otherwise objectionable; or
• Intended to impersonate a real person without consent, or to mislead consumers in violation of applicable advertising or consumer-protection law.

We reserve the right to decline or stop work on any project that violates these Terms.

Our website, branding, production methods and any pre-existing tools, templates or technology we use to deliver the Services remain our intellectual property. Nothing in these Terms transfers ownership of our underlying technology, processes or brand assets to you.

You agree to indemnify and hold us harmless from any claims, damages or expenses arising from materials you provide, your misuse of delivered content, or your breach of these Terms.

You may cancel a subscription at any time in line with our Refund & Cancellation Policy. We may suspend or terminate access to our Services if these Terms are violated, or if payment is not received.

We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of our website or Services after changes take effect means you accept the updated Terms.
